PUBLIC OFFER AGREEMENT
1. Definitions
1.1. This offer sets out the rules for placing, fulfilling, and receiving orders on the website marsala.com.ua.
1.2. Order – a properly completed request by the Buyer on the Website (all required fields in the "Place an Order" section filled out, information verified, and all actions required by the Website performed), addressed to the Seller, with an offer to purchase the selected items.
1.3. Buyer – an individual who places an Order and intends to purchase/purchases Products offered by the Seller on the Website.
1.4. Rules – the rules for placing, fulfilling, and receiving orders on the Website.
1.5. Seller – the Website administration, sole proprietor Svitlana Dmytrivna Zubyk (FOP Zubyk Svitlana Dmytrivna), Tax ID: 3624704120, Email: info@marsala.com.ua
1.6. Offer – information about the Product posted by the Seller on the Website, including price, payment and delivery methods, and other purchase terms. Offers are not binding and are provided for informational purposes.
1.7. Website – the web resource at marsala.com.ua where information on order processing, payment, delivery, returns, warranty, and product listings is published.
1.8. Product – a tangible item offered for sale by the Seller, displayed on the Website, with a listed price, name, description, characteristics, and availability.
1.9. Delivery Service – a third party providing goods transportation and courier/postal delivery services.
2. General Provisions
2.1. Use of the Website in any form (including placing Orders) signifies the Buyer's familiarity and agreement with these Rules. If the Buyer disagrees, they must refrain from using the Website.
2.2. These Rules govern:
- access to information on the Website;
- Website usage;
- ordering Products;
- payment;
- delivery;
- product receipt and return.
2.3. Product information on the Website is dynamic and subject to updates or changes without prior notice. Updates apply to orders placed after publication.
2.4. All product-related information, including prices and purchase terms, is accurately presented on the Website.
2.5. The information on the Website does not constitute a binding offer. By selecting a product and completing the checkout form, the Buyer submits a purchase offer to the Seller. Completion and submission of the order form constitutes the Buyer's offer.
2.6. The offer is considered accepted (accepted) by the Seller if the Seller performs actions that signify acceptance, namely shipping the Product according to the Buyer's order terms.
2.7. The Seller may counteroffer with different terms. Acceptance of the counteroffer is confirmed by payment or receipt of goods by the Buyer. The Seller may withdraw the counteroffer until payment or product issuance.
2.8. If either party mistakenly accepts an offer, changes can be made upon timely mutual notification.
2.9. Acceptance of an offer by either party constitutes a binding agreement under these Rules.
2.10. Product information is also provided on packaging and/or documentation. The Buyer may request additional information prior to purchase.
3. Order Placement Procedure
3.1. To make a purchase, the Buyer must correctly complete all required fields in the "Place an Order" section, verify the information, and perform all required actions.
3.2. The Buyer is responsible for the accuracy and truthfulness of all provided information.
3.3. By placing an Order, the Buyer confirms familiarity with and acceptance of these Rules.
3.4. The Order is considered accepted upon confirmation via email, phone call, or message to the contact details provided by the Buyer.
3.5. The Seller may reject an Order if the Product is unavailable, notifying the Buyer accordingly. Any payment received will be refunded.
3.6. If incorrect contact details are provided, the Seller may cancel the unconfirmed Order.
4. Product Price and Payment Terms
4.1. Product prices are listed on the Website and do not include delivery charges.
4.2. The Seller may change prices unilaterally but not after an Order is accepted.
4.3. Prices are in Ukrainian hryvnia (UAH).
4.4. Payment options:
- upon delivery (courier or self-pickup);
- bank transfer;
- cash on delivery (postal);
- non-cash via Liqpay CHECKOUT.
4.5. The Product is reserved for 48 hours post-order. If unpaid, the Order is canceled. Items are delivered only after full payment.
4.6. When making a payment, the Buyer must specify name and order number. Otherwise, delivery may be delayed due to payment identification.
4.7. If an Order is canceled or rejected, the Product payment is refunded, excluding any delivery costs incurred.
4.8. In case of order cancellation or return of the Goods by the Buyer, the funds paid by the Buyer are subject to refund only after the Seller receives the Goods.
4.9. The refund to the Buyer shall be made within 30 (thirty) calendar days from the moment the Seller receives the returned Goods by transferring the funds to the account from which the payment was made by the Buyer, or to another account specified by the Buyer in writing or electronically.
4.10. The Seller may restrict the use of certain payment methods for the ordered Goods.
5. Procedure of Goods Delivery
5.1. Delivery of Goods is carried out throughout the territory of Ukraine, except for temporarily occupied territories, in accordance with the laws of Ukraine.
Delivery cost is paid separately and is not included in the price of the Goods.
5.2. The Seller undertakes to hand over the Goods to the carrier (courier, postal service, etc.) for delivery or prepare the Goods for pickup by the Buyer at the Seller's premises within 2 (two) working days from the moment the Order is received. If the Goods are located in different premises (warehouses) or circumstances arise that complicate the fulfillment of the Order, the delivery/pickup period may be extended by the Seller up to 5 (five) working days. Delivery timelines are determined by the carrier. The Seller is not responsible for the carrier’s compliance with delivery timelines.
5.3. When placing an Order, the Buyer can independently choose a delivery method, namely:

courier delivery within the city of Kyiv (delivery by courier to the address specified by the Buyer);
-
collection from the selected branch of a postal service;
-
self-pickup from the Seller’s premises.
5.4. The cost of courier delivery within the city of Kyiv is indicated on the Website. The cost of delivery by postal services is determined by their rates. The delivery cost indicated on the Website includes all expenses related to the delivery of the Goods (including but not limited to Seller’s and courier’s costs).
5.5. The Seller makes every effort to meet the delivery deadlines indicated on the Website, however, delays are possible due to unforeseen circumstances beyond the Seller’s control (force majeure). In such cases, the Seller shall inform the Buyer and agree on new delivery conditions via email or phone.
5.6. The moment of receiving the Goods by the Buyer is considered the signing of a document confirming the acceptance of the ordered Goods (acceptance certificate, shipping declaration, or any other document that can confirm the fact of delivery), or the actual receipt of the Goods by the Buyer with actions confirming acceptance. The Buyer must present an identity document (passport, etc.) when receiving the Goods.
5.7. Upon receiving the Goods, the Buyer has the right to inspect their condition and check for all accompanying documents (receipt, acceptance certificate, etc.). In case of discrepancies, the Buyer must immediately file a complaint to the delivery service. Complaints about visible defects, completeness, or quality are not accepted after the Buyer has accepted the Goods.
5.8. If the Goods are transferred to a third party at the Buyer’s request, the moment of receipt is considered the signing of the delivery document by such third party.
5.9. The Seller may limit the availability of certain delivery methods when placing an Order.
6. Warranty Terms
6.1. Warranty periods according to the State Standards of Ukraine are as follows:
6.1.1. Fashion shoes – 30 calendar days;
6.1.2. Casual shoes made of leather or textile – 30 calendar days;
6.1.3. Casual shoes made of synthetic or artificial leather or mixed materials:
-
leather outsole – 40 calendar days;
-
leather outsole with rubber overlay – 45 calendar days;
-
outsoles made of leatherboard, styronip, transparents, PVC – 60 calendar days;
-
outsoles made of porous rubber, polyurethane, thermoplastic elastomer – 70 calendar days;
6.1.4. Other goods:
-
small leather goods, school backpacks, shopping or beach bags – 30 calendar days;
-
women’s, men’s, travel or sports bags – 50 calendar days;
-
leather belts – 30 calendar days.
6.2. The warranty period begins from the date the Order is issued or from the start of the relevant season, if the Goods are received off-season:
-
winter shoes: from November 15 to March 15;
-
spring/autumn shoes: from March 15 to May 15, and from September 15 to November 15;
-
summer shoes: from May 15 to September 15.
6.3. The warranty applies only to the main item and does not extend to accessories or supplementary parts (such as heel tips, laces, zippers, or other hardware).
6.4. The Seller is not liable for warranty obligations in the following cases:
-
breach of usage or care instructions;
-
damage caused by force majeure, accidents, or misuse;
-
post-delivery mechanical damage or exposure to moisture, snow, salt, extreme temperatures, or foreign substances;
-
defects due to natural wear and tear from prolonged use;
-
signs of unqualified repairs.
7. Return of Goods
7.1. If the Goods do not meet the Buyer’s expectations, the Buyer has the right to return Goods of proper quality within 14 (fourteen) calendar days from the date of receipt, provided that the conditions set out in the Law of Ukraine "On Consumer Rights Protection" are met.
7.2. METHODS OF RETURN AND EXCHANGE

Return the goods independently to the store.
-
Send the goods back via courier or postal service; the delivery cost is paid by the customer.
In case of exchange, delivery of the new item is made after the previous item is returned (the refund is made within 7 days after actual receipt of the returned item).
INSTRUCTIONS FOR RETURNING GOODS PURCHASED ONLINE:

Fill in the return form and return act included in the box with the Goods.

Take a photo of the completed form and return act and send it to the online order manager.
-
The manager will confirm the return or request corrections to the documents if necessary.

Once the return is confirmed, place the following into the box:

the item(s);
-
the receipt confirming the purchase and payment;

the completed return form and act.

Package all the above and send it to the store's address:
Kyiv, 5/2 Zankovetska Street.
Once the parcel is received, the refund will be processed within 7 business days.
8. Confidentiality and Personal Data
8.1. The information provided by the User (Buyer) is confidential. The website administration uses this information solely for the purpose of fulfilling the User's (Buyer’s) order unless otherwise stated in the agreement.
8.2. By registering on the company's website and independently choosing a LOGIN and PASSWORD for access, the User (Buyer) consents to the collection and processing of their personal data for the following purposes:

processing and dispatching orders;

receiving order-related information;
-
sending promotional and special offers via telecommunications (SMS, email, Viber or Instagram messages), giveaways, new product announcements, or any other marketing communication from the company.
8.3. For the above purpose, the company has the right to send emails, SMS messages, and make phone calls to the number provided during the order or registration.
8.4. The User (Buyer) consents to the use of cookie technology. Cookies do not contain personal data and cannot read information from the User’s hard drive. Cookies are used to improve service quality: fast user identification, saving preferences, and other personalization features. If cookies are disabled by the User, the website administration does not guarantee full functionality of the site.
8.5. The User (Buyer) grants the website administration permission to process their personal data, including storing it in a database, updating, modifying (without additional notification). The administration agrees to protect this data from unauthorized access and not to disclose it to third parties unless necessary for processing or upon official request from competent state authorities.
8.6. If the User (Buyer) no longer wishes to receive promotional messages or product updates, they may opt out by notifying the Administration.
